2. Access to restricted areas of the Website, including the Dealer Login portal, is limited to Authorised Users who have been granted login credentials by WISELIVING. WISELIVING grants Authorised Users a limited, non-transferable, non-exclusive licence to access restricted areas solely for authorised dealer purposes. Any use beyond the scope of this licence is prohibited.
3. You are responsible for maintaining the confidentiality of your account credentials, including passwords and login details, and for all activities that occur under your account. You must not share your credentials with any other person.
4. You must notify WISELIVING immediately if you become aware of any unauthorised use of your account or any other breach of security.
5. You agree to comply with all applicable laws and regulations when using the portal, including privacy, intellectual property, and competition laws, and all obligations under Clause 3 – Eligibility / Access and Clause 4 – Use of Website / Restrictions.
6. You must not attempt to access restricted areas without authorisation, circumvent security measures, or use the portal for any purpose other than authorised dealer activities.
7. WISELIVING may, at its sole discretion, suspend, restrict, or terminate your account at any time, with or without notice, for any reason, including breach of these Terms or conduct that may harm the Website, its users, or WISELIVING’s business.

All content within the restricted portal, including product specifications, technical information, marketing materials, and any future portal tools, is the property of WISELIVING and subject to the Intellectual Property provisions in Clause 7. 7. Intellectual Property / Website Content

1. 3. All trademarks, logos, and trade names displayed on the Website (“Trade Marks”) are the property of WISELIVING. Any use of Trade Marks, online or offline, without the prior written consent of WISELIVING constitutes infringement of intellectual property rights.

3. Where liability cannot be excluded by law, WISELIVING’s maximum liability is limited, at WISELIVING’s option, to:
   1. the re-supply of the information, service, or content; or
   2. the payment of the cost of re-supplying the information, service, or content.
4. Nothing in these Terms excludes, restricts, or modifies any liability that cannot be lawfully excluded under the Competition and Consumer Act 2010 (Cth), including statutory guarantees that apply under the Australian Consumer Law.
5. You acknowledge and agree that WISELIVING is not responsible for any indirect, consequential, or economic loss, including lost profits, lost business opportunities, loss of programs or data, or business interruption, even if WISELIVING has been advised of the possibility of such loss.
6. WISELIVING does not guarantee uninterrupted access to the Website, restricted portal areas, or continuous availability of any products, services, or features. Access may be modified, suspended, or terminated without notice.
7. You agree that your use of the Website, Content, User Content, Third-Party Content, and restricted portal areas is at your own risk, and you are responsible for implementing your own safeguards, including security measures, backups, and risk mitigation strategies.

13. Indemnity

   6. any claim arising from your use of third-party links or reliance on third-party content;
   7. any negligent or wrongful acts or omissions by you in connection with the Website, restricted portal, services, or interactions with WISELIVING’s contractors, service providers, or affiliates;
   8. any claims or losses arising from your access or use of the Website, portal, or content from outside Australia.
2. This indemnity applies whether the claim arises under contract, tort, statute, or otherwise, and includes claims brought by third parties, government authorities, or foreign entities.
3. WISELIVING reserves the right, at its sole discretion and at your expense, to assume the exclusive conduct, defence, or settlement of any claim or action. You agree not to settle any claim without WISELIVING’s prior written consent.
4. Nothing in this clause limits any other rights or remedies available to WISELIVING under these Terms, at law, or in equity.
5. This indemnity obligation survives the termination or expiry of your access to the Website, restricted portal, or any WISELIVING services.
6. This indemnity applies to all direct and indirect losses, including consequential, special, or economic losses, consistent with Clause 12 – Disclaimers / Limitation of Liability.

14. Termination / Suspension

1. WISELIVING may, at its sole discretion and without notice, suspend, restrict, or terminate your access to the Website, restricted portal, User Accounts, or any services or content if:
   1. you breach any provision of these Terms;
   2. you engage in unlawful, fraudulent, offensive, or harmful conduct;
   3. you misuse, interfere with, or compromise the Website, portal, systems, or other users’ accounts;
   4. WISELIVING determines that your continued access poses a risk to the Website, its users, or WISELIVING’s business interests;
   5. WISELIVING is required to comply with legal, regulatory, or governmental directives; or
   6. in circumstances of emergency, technical failure, force majeure, or events beyond WISELIVING’s reasonable control.
2. Upon suspension or termination:
   1. you must immediately cease all use of the Website, restricted portal, Content, and User Accounts;
   2. any licences or rights granted under these Terms, including access to User Content or portal content, are automatically revoked;
   3. WISELIVING may delete, remove, or disable access to any content, accounts, or submissions without notice;
   4. WISELIVING may retain or archive data as necessary to comply with legal obligations, enforce its rights, or protect business interests.
3. WISELIVING may, at its discretion, provide notice of suspension or termination for non-critical breaches where reasonable and practicable, but is not obligated to do so.
4. Termination or suspension does not limit or affect any other rights or remedies WISELIVING may have under these Terms, at law, or in equity, including rights to enforce liability, claim indemnity under Clause 13, or pursue damages.
5. WISELIVING is not liable for any loss, damage, or inconvenience arising from suspension, restriction, or termination, including loss of data, access to content, or business opportunities.
6. Clauses relating to Indemnity (Clause 13), Disclaimers / Limitation of Liability (Clause 12), Intellectual Property (Clause 7), and Privacy / Data Collection (Clause 11) survive any termination or suspension.
7. For Authorised Users or dealers, WISELIVING may, at its discretion, temporarily suspend access for security reviews, maintenance, or suspected misuse before deciding on permanent termination.
8. Accessing or using the Website, portal, or services from outside Australia does not limit WISELIVING’s right to suspend or terminate such access in accordance with this clause.
9. You acknowledge that WISELIVING may monitor compliance and take action to protect the Website, its systems, and users, without prior notice.

15. General Provisions

1.
